Wholesale Agreement and Terms of Sale (updated Jan 2021) 

To ensure brand quality and maintain a high standard of integrity within Gigi Pip products, all retailers who sell Gigi Pip products will be required to abide by the following terms. Failure to comply by these terms may result in the suspension of your wholesale account. 

1. APPROVAL PROCESS
   1. Following completion of the Gigi Pip Wholesale Agreement and application, approved Wholesale partners will receive email confirmation with steps to sign into their wholesale account.
      
      
2. MINIMUM ORDER REQUIREMENTS / DISCOUNT
   1. Gigi Pip requires a minimum of $1,000 spent for a first order, after the wholesale discount is applied. After the first order the minimum is $250.
      
      
3. WHOLESALE DISCOUNT
   1. Unless otherwise marked, Gigi Pip products are discounted 50% for wholesalers. Additional incentives may be offered from time to time based on quantities purchased or for special reasons such as the end of a season or overstock. Occasionally, Gigi Pip will list products online that are not available for wholesale. Only products that are found in the wholesale portal will be available for wholesale.
      
      
4. MSRP
   1. Wholesalers shall only list Gigi Pip products at or above the Manufacturer’s Suggested Retail Price (MSRP) which is the price listed at www.gigipip.com. 
   2. Discounting. Gigi Pip allows temporary discounting based on the following conditions:
      1. Online discounts must be in the form of a discount code or similar method which does not publicly display the discount associated with the product.
      2. Discounts shall not exceed 25% off MSRP unless approved in writing by Gigi Pip.   
      3. Indirect discounting is encouraged. Examples include promotions such as a free item with the purchase of a Gigi Pip product, shipping discounts, multi-product bundles, bounceback promotions, etc.
         
         
5. PAYMENT
   1. All orders must be paid for prior to shipping.
   2. Payment Processing:
   3. CC Authorization: To make the checkout process easier for you, we're requesting our wholesale partners to complete and return the CC authorization form. This will allow us to run the card as soon as your order is submitted. Our goal with this is to fulfill your orders as fast as possible and reduce risk of items going out of stock while an order is pending. Please complete and send back along with your tax exemption form. All orders completed via credit card will be charged a 2% processing fee.
   4. ACH: To avoid the 2% processing fee, orders may be completed via Paypal via ACH. If you would prefer this method, please let us know otherwise you will be charged the 2% processing fee.

6. WEB COMMERCE 
   1. No products or goods purchased from, or produced by, Gigi Pip shall be resold by or through any online auction or 3rd party store (such as Ebay, Amazon, Etsy, etc) without the express, written authority of Gigi Pip.
      
      
7. MARKETING RESTRICTIONS
   1. Wholesale partner may not use www.gigipip.com or any variation of Gigi Pip brand terms (including product names, fat-finger terms, etc) in any paid advertising except upon prior written consent of Gigi Pip. Examples of paid advertising include paid search, social media ads, pay-per-click, retargeting ads, and any other advertising channel.
      
      
8. PRODUCT IMAGES 
   1. Gigi Pip trusts wholesaler partners to promote quality images of Gigi Pip products. We do not require approval for posting; however, we do reserve the right to ask wholesale partners to switch out images for reasons including, but not limited to, the images being off-brand, blurred, distorted, misrepresenting the true colors, etc.
      
      
9. NON-TRANSFERABLE RIGHT TO RESELL GIGI PIP
   1. Authorization to resell Gigi Pip products is exclusive to the approved retailer and not transferable under any circumstances. Retailers are not authorized to resell Gigi Pip products to other wholesale accounts.
      
      
10. ORDERING PROCESS 
    1. Wholesale partners can send orders to wholesale@gigipip.com or place orders on the wholesale website (wholesale.gigipip.com). Not all products are available for wholesale. Discount rates are associated with each wholesale account and will be automatically applied at checkout. Please contact the Gigi Pip team with any issues ordering Gigi Pip products.
       
       *Pricing displayed on the product page for each product is the MSRP price, discounts are applied in the shopping cart.
       
       
11. PRODUCT QUANTITIES 
    1. Unless specifically noted, Gigi Pip products can be purchased in any quantities, so long as the minimum purchase amount is met. Certain products may be required to be purchased in multiple quantities for shipping optimization.
       
       
12. PACKAGING 
    1. If reseller is shipping Gigi Pip products to customers, reseller is solely responsible for packaging and shipping expenses.
       
       
13. SHIPPING/HANDLING 
    1. Wholesalers are responsible for all shipping fees. Items will not be shipped until full payment is received. No COD orders. We use USPS, FedEx, or UPS Ground shipping, based on cost affordability. On all orders, we include the cost of packaging materials and handling fees in your shipping total. 
    2. Wholesalers can use their own account for shipping via UPS, FedEx or DHL. To do so, please place your order via the wholesale team and request this upon placing the order.
    3. Our team works hard to get your hats to you in perfect condition, but sometimes in transit, a hat may get scrunched or dented. If this happens we first ask our wholesale partners try giving the hats a steam. We do this before they leave our warehouse, but sometimes they also need it upon arrival. We ask images of damages to be sent and steaming to be attempted before next steps are discussed. Follow up options include replacements of the damaged items, or a credit on the account.
    4. Orders typically take 7 to 10 business days to ship from our warehouse once the order is process and paid for.
14. SHIPPING ERRORS, RETURNS, AND WARRANTY 
    1. Wholesale orders are considered final and are not returnable. Order errors must be brought to Gigi Pip attention within 5 business days of receipt of shipment and will be considered final thereafter. We endeavor to protect your reputation, and ours; if you or your customer finds an issue or manufacturing defect during the first 30 days, we will work with you to find a resolution.
       
       
15. MERCHANTABILITY, MISREPRESENTATIONS AND EXCLUSIVITY 
    1. Wholesale Partner agrees that Gigi Pip makes no warranty, express or implied, as to the merchantability of Gigi Pip products. Wholesale Account also agrees that Gigi Pip is not liable for any misuse or misrepresentations of the goods by the Wholesale Account or the final retail purchaser or consumer, and indemnifies Gigi Pip for any legal actions that emanate from such actions. Gigi Pip reserves the right to change the terms of this Agreement as necessary. Prices are subject to change without notice. Either party with 30-day written notice can terminate wholesale relationship. 
    2. Gigi Pip does not guarantee exclusivity and reserves the right to weigh exclusivity issues on a case by case basis.
